1. Introduction
These Terms and Conditions (“Terms”) govern the relationship between SaaS Hero LLC (“SaaS Hero,” “we,” “our,” or “us”) and its clients (“Client,” “you,” or “your”) in connection with digital marketing, advertising, analytics, and automation services. By engaging SaaS Hero, you agree to be bound by these Terms, along with any applicable proposals, statements of work (SOWs), or service agreements.
2. Scope of Services
SaaS Hero provides marketing services including, but not limited to:

Google Ads, Meta Ads, LinkedIn Ads, and Microsoft Ads management

Conversion tracking and analytics implementation
-
Creative development, reporting, and campaign optimization
-
CRM and automation integrations (e.g., HubSpot, GA4, Looker Studio)
Each engagement’s deliverables, fees, and timelines are defined in the corresponding agreement or proposal.
3. Client Responsibilities
Clients agree to:

Provide timely access to required accounts, assets, and data.

Maintain administrative ownership of their ad accounts.
-
Review and approve deliverables within reasonable timeframes.
-
Refrain from unauthorized edits that may disrupt campaign performance.
Failure to cooperate may delay results and limit SaaS Hero’s ability to fulfill obligations.
4. Data Ownership & Confidentiality
All advertising and analytics accounts (Google Ads, Meta Ads, LinkedIn Ads, HubSpot, etc.) remain the sole property of the Client. SaaS Hero will not restrict Client access or ownership under any circumstance.
SaaS Hero may access client data solely for the purpose of fulfilling its contracted services. All employees, contractors, and vendors are bound by signed Non-Disclosure Agreements (NDAs) to maintain confidentiality
Sensitive data is stored exclusively in encrypted, access-controlled systems (Google Workspace, HubSpot, ClickUp) and transmitted only over secure channels (HTTPS, SFTP, OAuth)

5. Security & Data Protection
SaaS Hero maintains a comprehensive Security & Continuity Policy Suite that includes:

Backup & Retention Policy: All data is stored and versioned in encrypted cloud systems (Google Workspace Enterprise) and retained for 12 months after contract termination unless otherwise agreed
6. Business Continuity & Disaster Recovery
In the event of a service disruption, SaaS Hero will strive to restore essential operations—including campaign management and reporting—within 48 hours
Preventive measures include:

Multi-admin redundancy across ad and reporting platforms.

Cloud-based infrastructure with version history and redundancy.
-
Vendor partnerships with enterprise-level uptime guarantees (> 99.9%).
Clients will be notified promptly of any event materially affecting their data or service delivery.
7. Change Management
All campaign and system changes follow SaaS Hero’s documented Change Management Policy to ensure consistent review, approval, and testing before implementation
Clients are informed in writing of any material changes that may impact campaign continuity or reporting.
8. Intellectual Property
Upon full payment, Clients retain ownership of all creative assets, copy, and data generated under the engagement.
SaaS Hero retains the right to:

Reuse anonymized performance data for internal benchmarking or case studies.

Retain internal process documentation, automation scripts, and software integrations developed for operational use.
All SaaS Hero-developed intellectual property, templates, or proprietary tools remain the property of SaaS Hero unless otherwise agreed in writing.
9. Payment Terms
Payment terms are defined in each signed proposal or SOW. Unless otherwise specified:

Invoices are due upon receipt.

Late payments may incur a 1.5% monthly finance charge or the maximum allowed by law.

SaaS Hero reserves the right to suspend services for overdue accounts.
All fees are non-refundable once work has commenced, unless terminated under Section 10.
10. Termination
Either party may terminate an engagement with 30 days written notice.
Upon termination:

SaaS Hero will deliver all final reports, active campaigns, and data exports.

Client data will remain accessible for 12 months post-termination before deletion per our Backup Policy

Any outstanding invoices become immediately payable.
Termination for breach (e.g., non-payment, data misuse, or confidentiality violation) may occur immediately upon written notice.
11. Limitation of Liability
To the fullest extent permitted by law, SaaS Hero’s liability for any claim arising out of this agreement shall not exceed the total fees paid by the Client in the three (3) months preceding the event.
SaaS Hero is not liable for:

Indirect, consequential, or special damages;

Platform downtime, ad platform policy changes, or third-party outages;
-
Client delays, misconfigurations, or unauthorized modifications.
12. Indemnification
Each party agrees to indemnify and hold harmless the other, its officers, and employees from any claims, damages, or losses resulting from their own negligence, breach, or misconduct.
13. Force Majeure
Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including acts of nature, network outages, government actions, or widespread platform failures.
14. Governing Law
These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts located in New Hanover County, NC.
15. Policy Review & Updates
SaaS Hero reviews these Terms and related Security Policies annually to maintain compliance with client, platform, and legal standards
Updates will be posted on saashero.net/terms and communicated to clients as applicable.
